These Terms define how Merit may be used and set important legal boundaries, responsibilities, and limitations.

Merit is operated by Merit Software Pty Ltd.

Agreement to Terms

These Terms are between you and Merit Software Pty Ltd, which operates Merit.

These Terms of Service govern your access to and use of Merit services, including voice, SMS, review automation, integrations, and related features.

By using Merit, you agree to these Terms. If you do not agree, do not use the service.

Service Description

Merit provides tools that help businesses manage customer inquiries, call workflows, messaging, and review-related automations.

Merit is a workflow and communication platform and does not guarantee business outcomes such as lead conversion, review volume, or revenue results.

Call Recording and Transcription

Calls handled through Merit may be recorded and transcribed for operational, quality, support, and service delivery purposes.

You are solely responsible for complying with applicable call recording and consent requirements in your jurisdiction.

Acceptable Use

You must not use Merit for unlawful, fraudulent, abusive, deceptive, or harassing activity.

You must not use Merit to send spam, perform unauthorized telephony activity, or violate communication and privacy laws.

We may suspend or terminate access if we reasonably believe your use violates these Terms or creates legal, security, or operational risk.

Integrations and Third-Party Services

Merit integrates with third-party services such as Twilio, Retell, Supabase, and accounting or CRM providers.

Third-party services are governed by their own terms and availability. Merit is not responsible for third-party outages, delays, policy changes, or API failures.

Fees, Billing, and Refunds

Paid plans, usage charges, and billing intervals are presented during signup or in your account.

Unless required by law, fees are non-refundable once charged, including usage-based messaging or telephony charges.

You are responsible for taxes and charges associated with your use of the service.

No Warranties

Merit is provided on an as-is and as-available basis.

We do not guarantee uninterrupted availability, error-free operation, delivery success, or that every call, message, transcript, or automation will execute without issue.

Limitation of Liability

To the maximum extent permitted by law, Merit and its operators are not liable for indirect, incidental, special, consequential, or punitive damages.

To the maximum extent permitted by law, total liability arising from or related to Merit is limited to the fees paid by you to Merit in the 3 months before the event giving rise to the claim.

Indemnity

You agree to indemnify and hold harmless Merit from claims, damages, losses, and expenses arising from your use of the service, your content, or your violation of law or these Terms.

Termination

You may stop using Merit at any time.

We may suspend or terminate access where needed for security, legal compliance, non-payment, abuse prevention, or material breach of these Terms.

Changes to Terms

We may update these Terms from time to time. Continued use after updates means you accept the revised Terms.

Material changes will be reflected by updating the Last Updated date.
